Terms of Service for Slidepusher Media / Marc Silver

 

1. Introduction

These Terms of Service ("Terms") govern the provision of freelance corporate event specialist services ("Services") provided by Slidepusher Media / Marc Silver ("Service Provider", "we", "us", "our"). By engaging our Services, you ("Client") agree to these Terms.

 

2. Services

We agree to provide corporate event services as described in the project proposal or service agreement. The scope of services includes, but is not limited to, event production, coordination, and execution.

 

3. Payment Terms

Fees:
The Client agrees to pay the fees outlined in the project proposal or service agreement.

Payment Schedule: Payments are due according to the schedule specified in the project proposal or service agreement.

Late Payments:
Late payments may incur additional charges as outlined in the project proposal or service agreement.

 

4. Cancellation Terms

In the event of cancellation by the Client, the following cancellation fees will apply:
 

90-61 Days Prior to Start of Project: 50% of the total anticipated billable amount is due.

60-31 Days Prior to Start of Project: 75% of the total anticipated billable amount is due.

30 Days or Less Prior to Start of Project: 100% of the total anticipated billable amount is due.


All cancellations must be submitted in writing. The date of receipt of the cancellation notice will determine the applicable cancellation fee.

 

5. Changes to Services

Any changes to the scope of Services must be agreed upon in writing by both parties. Changes may result in additional fees and a revised project timeline.

 

6. Client Responsibilities

The Client agrees to provide all necessary information, materials, and access required for the Service Provider to perform the Services. Failure to provide such information may result in delays or additional charges.

 

7. Confidentiality

Both parties agree to keep all confidential information disclosed during the course of the project confidential and not to use or disclose such information to any third party without the prior written consent of the other party.

 

8. Liability

The Service Provider will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the Services. Our total liability to the Client for any claim arising out of or in connection with the Services will not exceed the total amount paid by the Client for the Services.

 

9. Force Majeure

The Service Provider will not be liable for any failure to perform or delay in performing its obligations if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, natural disasters, strikes, or government restrictions.

 

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Ontario, Canada.
Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

 

11. Entire Agreement

These Terms, together with the project proposal or service agreement, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations.

 

12. Amendments

Any amendments to these Terms must be made in writing and signed by both parties.
